1. Acceptance of Terms

By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services.

2. Description of Services

CEC provides the following applications:

• Probe: A mobile API workbench for testing, debugging, and exploring APIs
• Netmap: A network topology designer for visualizing and documenting network infrastructure
• Runbook: A step-by-step work-instructions builder with voice capture, photo steps, and AI-assisted writing

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice.

3. Account Registration

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Conduct denial-of-service attacks, flooding, or other activities that disrupt services
• Attempt to gain unauthorized access to any systems or networks
• Transmit viruses, malware, or other malicious code
• Harass, abuse, or harm another person or entity
• Collect or harvest user data without consent
• Use the Services for any illegal or unauthorized purpose
• Circumvent or attempt to circumvent rate limits or usage restrictions
• Use automated scripts or bots to access the Services without authorization
• Resell or redistribute the Services without written permission

Probe-Specific Restrictions

When using Probe, you additionally agree not to:

• Use Probe to conduct attacks against systems you do not own or have explicit authorization to test
• Attempt to bypass rate limits (30 requests/minute, 300 requests/hour, 1,000 requests/day)
• Use Probe to probe, scan, or test systems for vulnerabilities without authorization
• Store sensitive credentials (API keys, passwords) for systems you do not own

5. Rate Limits and Fair Use

To ensure service quality and prevent abuse, our Services enforce rate limits:

• Probe: 30 requests per minute, 300 requests per hour, 1,000 requests per day
• Probe on mobile: requests run directly from your device, one at a time, on free and paid plans alike
• Probe on the web: requests are relayed through our servers and require a paid plan
• Request timeout: 30 seconds maximum
• Response size: 10 MB maximum

Exceeding these limits may result in temporary or permanent suspension of your account.

6. Subscription and Payment

Some features of our Services require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information
• Authorize recurring charges until you cancel your subscription

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. No refunds are provided for partial subscription periods.

We reserve the right to change our pricing at any time. Price changes will be communicated to you at least 30 days before they take effect.

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by CEC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create using our Services (such as API collections and network diagrams). By using our Services, you grant us a limited license to store, display, and process your content solely for the purpose of providing the Services to you.

8. Third-Party Services

Our Services may integrate with or allow you to connect to third-party services (such as APIs you test with Probe). We are not responsible for the availability, content, or practices of these third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. You use the Services at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless CEC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. You may request export of your data within 30 days of termination by contacting us at legal@cec.systems.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may bring claims in small claims court if your claims qualify.
